ABOUT THE SESSION
For first-time entrepreneurs, the prospect of raising equity from an angel/venture capital investor can be a rewarding, though daunting process. The starting point of the fund-raising process is usually where an Investor expresses its interest to invest in a startup, by providing the Founder(s) with a “Term Sheet”. Several Founders/Startups find it difficult to comprehend what terms and conditions are really important from their perspective, what terms are conditions are fairly “standard” in the venture capitalist’s/angel investor’s ecosystem and what are some of the terms and conditions where they can negotiate extensively with investors. This is where professionals like lawyers and chartered accountants can come in handy.
The objective of this session is to provide startups with broad pointers on how to navigate the Term Sheet negotiation process. Understanding the context will help Startups/Founders to focus on issues that that really matter. This helps in moving an investment transaction to closure quickly and ensuring that both parties to an investment transaction don’t get bogged down on minor issues, leading to a time-lag and unnecessary increase in transaction costs.
ABOUT THE SPEAKER
Amrut Joshi is the Founder of GameChanger Law Advisors (GLA), a boutique corporate and commercial law practice that has offices in Bangalore and New Delhi. In a career that has spanned thirteen years, Amrut has previously worked with some of India’s biggest law firms, before founding GLA in 2011.
During the course of his career, Amrut has advised several venture capital funds, prominent angel investors and founders of startups on several landmark angel/seed and venture capital transactions, as well as on mergers & acquisitions transactions across various industries, including those in the Social, Mobility, Analytics and Cloud (SMAC), consumer internet, automobile, IT Products, staffing and recruitment, media and sports industries. He also advises clients regularly on a broad range of company law and employment law compliance issues.
Amrut is currently a Legal Mentor to startups at Kyron, which designs, manages and operates startup engagement programs for some of the largest global corporations.
Amrut has been invited to speak at events/workshops organized by The Indus Entrepreneurs (TiE), Confederation of Indian Industry (CII), Young Indians (Yi), FICCI and at leading law schools in India.
Amrut graduated from the National Law School of India University in 2003.
